SET:Right for JMART's shareholders to receive JMT's share subscription(No XR sign on JMART)

The SET notifies right for JMART's shareholders to receive JMT's share subscription (No XR sign posted on JMART's securities) According to Jay Mart Public Company Limited (JMART) has notified that JMT Network Service Public Company Limited (JMT), which is 99.99% subsidiary, offered 75,000,000 shares for the Initial Public Offering (IPO) and Asia Plus Advisory Company Limited as the Financial Advisor. JMT allocated 45,000,000 of JMT's newly issued common shares to JMART's shareholders, JMART notified details of allocating JMT's newly issued common shares to JMART's shareholders as follows: Subject Details Offering securities JMT's newly issued common shares (Currently, JMT is a non-listed company.) Number of offering shares 45,000,000 shares (equivalent 60% of total JMT's newly issued common shares) Share allotment ratio 9.15 JMART's common shares (par value of Baht 1) will be eligible to purchase 1 JMT's newly issued common shares (par value of Baht 1). The fraction of shares from the computation will be rounded off. Share register book closing date The record date for the rights to receive the JMT's newly issued common shares is scheduled on 26 October 2012. Also, in accordance with Chapter 225 of Securities and Exchange Act, the closing date of shareholders register book will be on 29 October 2012. Offering price Same as IPO price, which will be specified and notified later Subscription and/or payment date Subscription and/or payment date for pre-emptive right will be prior to the subscription period of the IPO of which will be later announced. Approval of share offering application by SEC The share offering application for the Initial Public Offering (IPO) is during consideration by the Securities and Exchange Commission (SEC) (Details of JMART's news dated 10 October 2012) In this regard, the SET will not post any sign against JMART's securities to indicate the rights for JMT share subscription since such offering does not have any effects on JMART's capital structure. Nonetheless, the SET would like to inform that investors who buy JMART's shares from 24 October 2012 onwards are not entitled to the rights to JMT's share subscription. ______________________________________________________________________
